Course Description:
The course consists of a mix of lectures and cases. Lectures will cover an overview of corporate governance and the key governance mechanisms of the board of directors, executive compensation, ownership structure, corporate control, legal and regulatory forces as well as international governance trends. Cases are integrated throughout the course to reinforce and clarify major topics.
